Terms of sale and licence agreement
These terms cover buying and using sQRted. Plain language, and short on purpose. Effective 10 August 2026.
Who you are buying from
sQRted is made and sold by Sugata Software, Australia. In these terms "we" and "us" mean Sugata Software, and "you" means the person or organisation buying or using sQRted.
Payment is processed by Stripe, which acts as merchant of record for the sale. Your card details go to Stripe and never reach us. Your receipt and card statement may therefore show Stripe as the seller.
Questions about these terms: support@sqrted.com.
What a seat gives you
Buying a seat gives you a perpetual, non-exclusive licence to run sQRted on one machine. It does not expire, and there is no subscription. Seats are attached to the email address used at checkout, and you may hold as many as you like against one address.
| Seat | What it allows |
|---|---|
| Desktop | Unlimited filing, run manually from the app or the command line. |
| Unattended | Everything a Desktop seat allows, plus watch mode and the Windows Service. |
A seat covers one machine at a time, not one person. You may move a seat between machines as often as you need: release it in the Registration window, then register the new machine with the same email address.
A seat covers the major version it was bought for and every update within it. Version 1 seats cover all 1.x releases, at no further cost and with no expiry. A future major version is a separate purchase, and existing customers are offered a discount at checkout automatically.
Without a seat, sQRted files five documents in total on a machine and watermarks its output. Dry run is unlimited and always will be, so you can evaluate the software on your own documents for as long as you like before buying anything.
What you may not do
- Resell, rent, sublicense or redistribute sQRted, or offer it as a service to third parties, without our written agreement.
- Work around, disable or tamper with registration, the watermark or the free-use limit.
- Share a single seat across more machines than you have bought seats for.
- Reverse engineer, decompile or disassemble the software, except where law expressly permits it despite this term.
- Remove or obscure our branding or copyright notices.
We keep all intellectual property rights in sQRted. Buying a seat buys the right to use the software, not ownership of it. The documents you file with it remain entirely yours.
Registration and machines
Claiming a seat requires a six digit code emailed to the address the seats were bought against. This proves the address is yours, so nobody who merely knows your email can take a seat you paid for.
Registration stores a signed licence token on the machine. About once a month the app confirms the seat with our licence service when it starts. If it cannot reach us, nothing happens and filing continues as normal. The check-in falls due after 30 days, and there is then a further 60 days of grace, so only after three months with no successful confirmation does the machine return to unregistered. Registering again fixes it at any time.
The token is bound to the machine and carries a counter that rotates on each confirmation. If we see the same token confirming from what appears to be a copy, for example a cloned disk image, we may revoke that activation. The seat returns to your pool and you can register the machine you actually intend to use. We are not trying to catch anyone out here: if this happens and it was legitimate, email us and we will sort it out.
Price, currency and tax
Prices are shown in US dollars and are per seat, with volume pricing applied automatically at checkout. The price you see at checkout is the price you pay.
Because Stripe is merchant of record, Stripe determines, collects and remits any sales tax, GST or VAT due on the sale according to where you are. Any such amount is shown at checkout before you pay.
Refunds
Try before you buy, because we do not offer change-of-mind refunds. sQRted is deliberately built so you never have to purchase on trust:
- Dry run is unlimited, forever. Point it at real batches and see exactly where every document would be filed, without buying anything.
- An unregistered copy files five real documents, so you can put the whole workflow through its paces on your own scans.
Please use both before you buy. Once seats are purchased, we do not refund them simply because you changed your mind, bought more than you needed, or stopped using the software.
Your rights under the Australian Consumer Law cannot be excluded and are not affected by anything above. If sQRted has a major failure, or does not do what we have said it does, you are entitled to a refund or replacement. Email support@sqrted.com and we will sort it out, and we would much rather fix the problem than argue about it.
Where a purchase is refunded, the seats it paid for are released and any machines registered against them return to unregistered.
Updates and support
Updates within your major version are free and optional. We will not force an update on you, and old versions keep working.
Support is by email at support@sqrted.com. We are a small operation and answer as quickly as we reasonably can. We do not offer a guaranteed response time.
Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees, and where any term would do so, it does not apply to that extent.
Where you are entitled to the benefit of those guarantees, you may be entitled to a replacement or refund for a major failure, and to compensation for any other reasonably foreseeable loss or damage.
Warranties and liability
Subject to the Australian Consumer Law section above, sQRted is provided as is. We do not warrant that it will be uninterrupted or error free, or that it will read every barcode on every scan. Recognition depends heavily on scan quality, which is outside our control, and dry run exists so you can check results before committing.
sQRted moves and splits your files. Keep backups of anything you cannot afford to lose, and use dry run on a new batch before running it for real. To the extent the law allows, we are not liable for loss of, or damage to, documents or data.
To the extent the law allows, our total liability arising out of or in connection with sQRted is limited to the amount you paid us for the seats concerned in the twelve months before the claim, and we are not liable for indirect or consequential loss, loss of profit, loss of revenue or business interruption.
Your data
The documents you file never leave your machine. sQRted does the rendering, barcode reading, splitting and filing locally. We do not receive your files, their contents, their names or the barcode values in them.
What we do hold is your email address, purchase records and registration records. The privacy policy sets out exactly what that is, why we have it and how to have it removed.
Ending the licence
You can stop using sQRted at any time. Release your seats and uninstall it. Documents already filed are yours and are unaffected.
We may suspend or end a licence if these terms are seriously or repeatedly breached, for example redistributing the software or deliberately circumventing registration. Where the breach can be fixed, we will tell you and give you a fair chance to fix it first.
Changes to these terms
We may update these terms for future purchases. The terms that apply to a seat are the ones published when you bought it, and we will not change the deal on a seat you already own. The effective date at the top tells you which version you are reading.
Governing law
These terms are governed by the laws of Western Australia, Australia, and the courts of that state have non-exclusive jurisdiction. If you are buying as a consumer somewhere else, this does not deprive you of the protection of your local consumer law.
If any part of these terms turns out to be unenforceable, the rest keeps working.
